Terms and Conditions

1 Scope

These General Terms and Conditions (GTC) apply to all contracts between MasterVM USA LLC, 30 N Gould St, STE R , 82801 Sheridan , WY (hereinafter 'Provider') and its customers regarding the provision of IT infrastructure, server services and related services.

2 Subject of Contract & Services

The Provider provides the customer with computing capacity, storage space and network connection (infrastructure). The exact scope of services results from the respective product description at the time of order.

The Provider guarantees a 99.5% average annual availability of its services, unless a different Service Level Agreement (SLA) has been agreed upon in individual cases. Maintenance & Crashed Node(Failure due Hardware in DC ) work does not count as downtime.

3 Refund & Cancellation Policy

We offer a voluntary 14-day money-back guarantee for specific payment methods ( Verified User ). However, the following special conditions apply:

Bandwidth Compensation

Proportional charging of bandwidth already consumed upon cancellation or refund requests.

Cryptocurrencies

Non-refundable due to strict financial tracking and AML corporate regulations.

4 Obligations & Restrictions

The customer is obliged to keep access data secret. They bear full responsibility for all content, processes, scripts, and network traffic generated inside their assigned environments.

Strictly Forbidden:

  • Hacking & Intrusion
  • DDoS & Traffic Flooding
  • Illegal Content (Malware, Botnets, Piracy)
  • Phishing & Fraud Panels
  • Spamming/Bulk/Mass Mailing
  • Child Sexual Abuse Material (CSAM)
  • Registering into our Portal with VPN/Proxy

Section 230 Safe Harbor Immunity: Pursuant to 47 U.S. Code § 230, the Provider operates exclusively as an interactive computer service platform and infrastructure intermediary. The Provider does not author, publish, or monitor data stored within end-user virtual machine environments. Full administrative and criminal liability rests entirely on the customer.

DMCA & Copyright Infringement Policy: The Provider strictly enforces the Digital Millennium Copyright Act (DMCA), 17 U.S. Code § 512. Formal notices of copyright infringement or network abuse must be submitted directly to our designated agent at [email protected]. Verified instances of abuse or illegal operations will result in immediate termination of services without warning or compensation.

5 Payment & Default

Fees are due in advance. Suspension possible after notice in case of default.

6 Liability

Limitation of Liability & As-Is Waiver

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". THE PROVIDER EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, NETWORKS, OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY THE CUSTOMER TO THE PROVIDER IN THE ONE (1) MONTH PRECEDING THE APPLICABLE CLAIM.

7 Privacy

Data processing is executed in accordance with applicable data protection regulations. Details in the Legal Privacy.

8 Final Provisions

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in the State of Wyoming, USA. You hereby waive any objection based on forum non conveniens

9 Tax Declaration & Location Verification

Customer Responsibility & Accuracy: You are responsible for all applicable taxes, duties, and governmental assessments associated with your purchase. You agree to provide accurate, complete, and current billing details, including your true legal address and country of residence or business operation.

Tax Jurisdiction & Multi-Factor Verification: To comply with global digital service tax regulations (including US state tax laws and international VAT/GST framework) and to prevent fraudulent tax evasion, MasterVM USA LLC determines your tax jurisdiction based on a multi-factor verification protocol. This cross-references your declared billing address against your connection IP address, network geolocation signals, and payment instrument issuing origin (BIN).

Address Misrepresentation & Tax Evasion: Intentionally providing false billing details, using anonymizing proxies, or manipulating location indicators to bypass tax requirements or alter tax assessment constitutes a material breach of these Terms. MasterVM USA LLC reserves the right to automatically adjust tax calculations, request location verification documentation, or suspend accounts engaging in misrepresentation.

10 Tax Determination & Operating Location Protocol

Place of Consumption Principle: In accordance with statutory US state sales tax laws and global digital service tax frameworks, applicable tax obligations are determined by your actual Operating Location / Place of Consumption (verified via connection IP indicators and network geolocation) rather than relying exclusively on self-reported billing text.

Address Discrepancies & Overseas Classification: If a customer's declared billing address conflicts with their verified physical operating country (IP/network location), MasterVM USA LLC classifies the transaction based on the verified operating center. Where the verified operating location is outside the United States, the account will be classified as an Overseas / Cross-Border Client and treated as an exempt digital export under US tax regulations.

Legal Compliance & Audit Proof: This multi-factor verification protocol complies 100% with statutory tax auditor requirements (including US State Revenue Departments and international VAT/GST place-of-supply rules). Any deliberate manipulation of location data, use of unauthorized proxy networks to alter tax assessment, or misrepresentation of tax residence constitutes a material breach of these Terms and will result in tax adjustment, identity verification demands, or service termination.

11 Restricted Service (EU / UK / USA)

Geographic Service Limitations: MasterVM USA LLC operates exclusively outside the European Union (EU), United Kingdom (UK), and United States (USA). We do not market, offer, or sell cloud infrastructure or VPS services to individuals or entities residing or headquartered in the European Union, the United Kingdom, or the United States.

Prohibition of Orders: Residents, citizens, and entities established in EU member states, the UK, or the USA are strictly prohibited from creating accounts or ordering services on MasterVM.com. Any orders placed using false location data, VPNs, or proxy services to circumvent this regional restriction will be subject to immediate account termination without refund.

12 US Sanctioned & Embargoed Jurisdictions

US Trade Sanctions & OFAC Compliance: As a legal entity incorporated in the United States, MasterVM USA LLC strictly complies with all statutory regulations enforced by the US Department of the Treasury's Office of Foreign Assets Control (OFAC) and federal export control laws.

Prohibited Countries: MasterVM USA LLC strictly forbids account registration, hosting infrastructure provision, technical support, or payment processing for individuals, residents, or legal entities established in or operating from the following embargoed or comprehensively sanctioned jurisdictions:

  • Belarus
  • Cuba
  • Iran
  • North Korea (DPRK)
  • Russia
  • Syria
  • Venezuela

Evasion & Immediate Termination: Any attempt to bypass these federal trade restrictions using VPNs, anonymizing proxy networks, TOR nodes, stolen identity details, or fraudulent billing entries is strictly prohibited. Accounts detected violating these sanctions will be subject to immediate termination without prior notice, forfeiture of all prepaid funds without refund, and reporting to legal authorities where required by federal law.

13 Unmanaged Infrastructure & SLA Commitments

Strictly Unmanaged Service Model: All virtual private servers (VPS), cloud instances, and dedicated compute solutions provisioned by MasterVM USA LLC are delivered on a strictly unmanaged (self-managed) basis. The customer retains exclusive administrative and root-level control, assuming full operational and legal responsibility for operating system installation, ongoing maintenance, environment configuration, security hardening, patching, firewall rules, and disaster recovery planning.

Guaranteed Hardware & Network SLA: MasterVM USA LLC solely guarantees the availability of the underlying physical infrastructure, datacenter facility power, hypervisor operations, upstream network routing, and the discrete resource allocations (vCPU cores, RAM, storage volumes, and port throughput) assigned to the customer’s active account in accordance with our Service Level Agreement (SLA).

14 Included Platform Controls & Infrastructure Scope

Supported Platform Operations: While the internal software environment remains self-managed by the customer, MasterVM USA LLC provides full hypervisor-level operational support and automated self-service management tools at no additional charge.

What MasterVM USA LLC Manages & Provides:

  • Automated OS Provisioning: Initial deployment and unlimited, free-of-charge operating system reinstalls from our curated library of distribution templates.
  • Power & State Management: Real-time control panel actions including instance Start, Graceful Shutdown, Hard Reboot, and Force Power-Off execution.
  • Core Network Infrastructure: Allocation of public IP addressing, default gateway routing, hypervisor vSwitch connectivity, and upstream transit availability.
  • Hardware Health & Host Maintenance: Continuous node health monitoring, physical hardware fault replacement, hypervisor virtualization integrity, and power redundancy.

Operational Boundaries: Our obligation under this section is strictly limited to providing functional access to these control mechanisms, maintaining physical server health, and guaranteeing network throughput to the host hypervisor. Internal system administration, custom software deployment, and third-party configuration remain outside this operational scope.
